These Terms apply to clients (companies and recruitment firms engaging Assist Recruiting for recruitment services) and to website visitors. Specific commercial terms for individual engagements are set out in a separate Statement of Work or service agreement.
Assist Recruiting provides structured recruitment support services including, but not limited to:

We reserve the right to decline any engagement request at our sole discretion.
A formal engagement with Assist Recruiting begins when both parties have agreed in writing to a Statement of Work, service agreement, or equivalent document that sets out the scope, deliverables, timeline, and commercial terms.
Initial consultation calls, discovery sessions, and written proposals do not constitute a binding agreement and impose no obligation on either party.
In the event of any conflict between these Terms and a specific engagement agreement, the engagement agreement takes precedence for that engagement.
To enable Assist Recruiting to deliver effectively, clients agree to:
Assist Recruiting is not responsible for delays or quality issues that result from late, incomplete, or inaccurate information provided by the client.
Fees for Assist Recruiting's services are agreed on a per-engagement basis and set out in the relevant service agreement. Unless otherwise agreed in writing:
Where a candidate introduced by Assist Recruiting is engaged by the client (or an affiliated entity) outside of the agreed process — whether directly, through a third party, or through a future engagement — the client agrees that the full placement fee remains payable.
Both parties agree to treat as confidential any proprietary or sensitive information disclosed by the other party in connection with an engagement, including but not limited to client hiring plans, candidate details, business strategies, and commercial terms.
Confidential information must not be disclosed to any third party without prior written consent, except where required by law or regulation.
For white label recruitment engagements, Assist Recruiting agrees to operate entirely under the client's brand and maintain strict confidentiality regarding the existence of the arrangement. We will not disclose our involvement to candidates, end-clients, or any third party without express written permission.
Confidentiality obligations survive the termination or expiry of any engagement for a period of 3 years, unless a longer period is agreed in the relevant service agreement.
All content on the Assist Recruiting website — including text, design, graphics, and code — is the intellectual property of Assist Recruiting and is protected by applicable copyright and trademark law. You may not reproduce, distribute, or create derivative works from any website content without our prior written consent.
Shortlists, screening notes, candidate reports, and other materials produced by Assist Recruiting in the course of an engagement are provided to the client for the purpose of that engagement. Ownership and permitted use of these materials is governed by the relevant service agreement.
Assist Recruiting retains the right to use anonymised engagement data and insights for internal quality improvement and service development, provided no personally identifiable information is included.
Assist Recruiting processes personal data in accordance with our Privacy Policy and applicable data protection law, including the Philippine Data Privacy Act of 2012 (Republic Act No. 10173) where applicable.
Where Assist Recruiting processes candidate personal data on behalf of a client (for example, in white label or RPO engagements), the parties will enter into a data processing agreement that sets out respective responsibilities, retention periods, and data subject rights obligations.
Clients are responsible for ensuring that their use of candidate data provided by Assist Recruiting complies with applicable data protection law in their jurisdiction.
Assist Recruiting warrants that services will be delivered with reasonable skill, care, and diligence in accordance with the agreed brief and industry standards.

The Website is provided on an "as is" basis. We make no warranties, express or implied, that the Website will be uninterrupted, error-free, or free from viruses or harmful components. We reserve the right to modify or discontinue the Website at any time.
To the fullest extent permitted by applicable law, Assist Recruiting's total liability to a client in connection with any engagement shall not exceed the total fees paid by that client to Assist Recruiting in the 3 months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes liability for fraud, wilful misconduct, or any liability that cannot be limited or excluded by law.
Either party may terminate an engagement in accordance with the notice provisions set out in the relevant service agreement.

Upon termination, any outstanding fees for work completed up to the termination date remain payable. Confidentiality obligations and any candidate introduction fees survive termination.
You agree to use the Assist Recruiting website only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use and enjoyment of the site.

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising under or in connection with these Terms or any engagement shall be subject to the exclusive jurisdiction of the courts of the Philippines, unless otherwise agreed in a specific engagement agreement.
For clients based outside the Philippines, we are open to agreeing on an alternative governing law and jurisdiction in the relevant service agreement.
We may update these Terms from time to time to reflect changes in our practices, legal requirements, or services. When we make material changes, we will update the "Last updated" date at the top of this page.
Continued use of the Website or services after changes are posted constitutes your acceptance of the updated Terms. We recommend reviewing this page periodically.
Changes to Terms do not affect the terms of any engagement agreement already in effect at the time of the change.
